Terms of Service

1. Agreement to Terms

By accessing or using the Janus 360 mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the App.

These Terms apply to all users of the App, including employees, contractors, and authorized personnel of organizations that have entered into a service agreement with Janus 360, LLC ("Company", "we", "us", or "our").

2. Description of Service

Janus 360 is a field workforce management application that provides:

• Location-based check-in and check-out functionality
• Route optimization and navigation
• Visit scheduling and tracking
• Performance analytics and reporting
• Real-time communication with management
• CarPlay integration for safe driving interactions

The App is designed for use by authorized personnel conducting store visits, inspections, and related field operations.

3. User Accounts

To use the App, you must:

• Be provided credentials by your organization's administrator
• Maintain the confidentiality of your login credentials
• Notify your administrator immediately of any unauthorized access
• Not share your account with any other person

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree NOT to:

• Use the App for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the App's functionality
• Falsify check-in/check-out data or location information
• Use the App while driving in an unsafe manner
• Reverse engineer or attempt to extract source code
• Remove or alter any proprietary notices

Violation of these terms may result in immediate account termination.

5. Location Services

The App requires access to your device's location services to function properly. By using the App, you consent to:

• Collection of GPS coordinates during check-in/check-out
• Background location monitoring when actively checked in
• Geofence notifications to assist with timely checkouts

Location data is used solely for business purposes and is subject to our Privacy Policy. You may disable location services, but this will prevent core App functionality.

6. Intellectual Property

The App and its original content, features, and functionality are owned by Janus 360, LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the App or its content without our express written permission.

7. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, either express or implied.

We do not warrant that:

• The App will be uninterrupted or error-free
• Results obtained will be accurate or reliable
• The App will meet your specific requirements

Any reliance on the App is at your own risk.

8. Limitation of Liability

To the maximum extent permitted by law, Janus 360, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Loss of data or business interruption
• Personal injury or property damage

Our total liability shall not exceed the amount paid by your organization for the Service in the twelve (12) months preceding the claim.

9. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes through:

• In-app notifications
• Email to registered addresses
• Updates to the "Last Updated" date

Continued use of the App after changes constitutes acceptance of the modified Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved in the state or federal courts located in Harris County, Texas.
